UniCredit is striving to finalize its control over Commerzbank by the fourth quarter, as revealed by CEO Andrea Orcel during an exclusive interview. Orcel expressed confidence in UniCredit’s position, highlighting an increase in their stake to 48% in Commerzbank and emphasizing that they are not waiting until the annual general meeting in May to advance their plans.

During the interview on CNBC’s “Europe Early Edition,” Orcel detailed the significant steps that still need to be addressed before a complete merger can happen. He stated, “That would mark the moment when we go in,” indicating a proactive approach towards the acquisition.

Despite the upward trajectory in their stake, Orcel admitted that the two banks are “very different” and noted that various alignments must occur prior to a full merger. In response to the evolving situation, Commerzbank reiterated that their stance is unchanged, stressing that a constructive dialogue is essential for cultivating value for all stakeholders.

The potential acquisition has caught the attention of the market, positioning UniCredit’s moves among the most closely watched takeover attempts in Europe in recent years. Initially acquiring a 9% stake in 2024, UniCredit increased this to approximately 30% in March, leading to heightened speculation surrounding a full takeover, met with fierce resistance from Commerzbank’s management.

The German Finance Ministry also chimed in on the matter, stating that communication between the two banks should lead to a resolution. This indicates a shift from previous opposition by the German government, although they remain wary of UniCredit’s determined approach to the acquisition. The ministry currently holds a 12% stake in Commerzbank.

Commerzbank’s deputy chair, Sascha Uebel, urged both parties to “act like adults,” showcasing the tension surrounding the discussions. Meanwhile, UniCredit’s financial outlook remains strong, as demonstrated in their recent second-quarter results. Although their net profit experienced a 13% drop to 2.9 billion euros ($3.3 billion), excluding certain one-off costs boosts the adjusted profit to 3.1 billion euros. Following these results, UniCredit upgraded its full-year net profit target to exceed 11 billion euros, reflecting a strong position to pursue the acquisition.
